Terms of Service

These Terms of Service form a binding agreement between you (the Client) and Niche Marketing Services, LLC regarding the provision of niche marketing services, including SEO, paid media management, content, analytics, and related digital marketing work.

1. Scope of Services

Niche Marketing Services, LLC will provide the marketing services described in your signed proposal, statement of work, or master service agreement. We retain discretion over the tools, methods, and specialists used to achieve agreed campaign objectives, provided work remains consistent with the scope you approved.

2. Timelines and Client Cooperation

Marketing timelines for audits, launches, and optimizations are estimates based on normal working conditions. Timely delivery depends on your cooperation, including providing access credentials, brand assets, approvals, and feedback. Delays caused by missing client inputs may extend schedules without penalty to Niche Marketing Services, LLC.

3. Fees and Ad Spend

You agree to pay Niche Marketing Services, LLC according to the billing schedule in your contract, typically as a monthly retainer or other agreed structure. Agency fees cover strategy, management, and execution labor only. Advertising spend paid directly to platforms (such as Google Ads or Meta Ads) is separate and remains your responsibility unless otherwise stated in writing. Niche Marketing Services, LLC does not advance media budgets on your behalf.

4. Term and Termination

Because SEO and paid campaigns often require time to gather performance data, engagements may include an initial commitment period defined in your agreement. After that period, services may continue month to month. Either party may end the engagement with written notice as specified in your contract. Upon termination and payment of outstanding invoices, Niche Marketing Services, LLC will assist with a reasonable handoff of connected ad and analytics accounts to your control.

5. Limitation of Liability

To the fullest extent permitted by law, Niche Marketing Services, LLC is not liable for indirect, consequential, punitive, or special damages arising from our services, including lost profits, business interruption, or loss of data. Our total liability for any claim related to services performed shall not exceed the agency fees you paid to Niche Marketing Services, LLC during the sixty days immediately before the event giving rise to the claim.
